Are stage shift opportunities in Naruto Ultimate Ninja random

An opportunity for a stage shift usually comes around after a character has been knocked down a few times. If the character gets hit again before they can hit up+x button, the exclamation bubble disappears along with the opportunity. So, yes, they are random but you can trigger them by letting yourself get beat up.
