How do you unlock PHOENIX for marvel Ultimate Alliance 2

You can unlock her in game either by pressing: Left, Left, Right, Right, Up, Down, Up, Down, Start. and you should see hear in the rooster.
Another way to unlock her (if u don't like "cheating")
is by collecting all 5 M'Kraan Shards in game. : )
